You also agree that eLittleBucks.com may, in its sole discretion and without prior notice to you, terminate your access to the Site and your account for any reason, including without limitation: (1) attempts to gain unauthorized access to the Site or assistance to others' attempting to do so, (2) overcoming software security features limiting use of or protecting any Content, (3) discontinuance or material modification of the Site or any service offered on or through the Site, (4) violations of this Terms of Use, (5) failure to pay for purchases, (6) suspected or actual copyright infringement, (7) unexpected operational difficulties, or (8) requests by law enforcement or other government agencies. 3. Consent To Our Communication With You By E-Mail. By establishing a account with us, and each time you make a purchase through our Site, you grant permission for eLittleBucks.com to contact you at your e-mail address. To stop receiving our marketing emails, send an e-mail to us at optout@elittlebucks.com or follow the opt-out procedures set forth in such marketing emails.

4. Conditions of Sale and Payment Terms. To purchase any goods and/or services on our Site, you must (a) be at least eighteen (18) years of age or the applicable state age of majority, (b) be a natural person (no corporations, partnerships or other legal entities), and (c) be a resident in the 50 states of the United States of America, its commonwealths, territories or possessions ("United States"). You agree to pay all fees and charges incurred in connection with your purchases (including any applicable taxes) at the rates in effect when the charges were incurred. Unless you notify eLittleBucks.com of any discrepancies within sixty (60) days after they first appear on your credit card statement, you agree that they will be deemed accepted by you for all purposes. If eLittleBucks.com does not receive payment from your credit card issuer or its agent, you agree to pay all amounts due upon demand by eLittleBucks.com or its agents. 6. Order Acceptance Policy. 9. Price Comparisons, "List Price" and "You Save". Price comparisons may be made throughout the site to indicate the relative savings amounts of our pricing. "LIST PRICE" is the suggested retail price provided to us by our suppliers. We make no representation that a substantial number of these products have been sold or offered for sale at the list price. Actual retail prices in your area may be substantially different. 13. LIMITATION OF LIABILITY. NOTWITHSTANDING ANYTHING ELSE IN THIS TERMS OF USE OR POSTED ON THE SITE, THE MAXIMUM LIABILITY THAT MATH FOR LIFE SHALL HAVE IS LIMITED TO ANY AMOUNTS ACTUALLY PAID TO MATH FOR LIFE BY END USER. ORDER INFORMATION SUCH AS BILLING OR SHIPPING ADDRESS THAT IS INACCURATE OR INCOMPLETE MAY RESULT IN DELAYS THAT SHALL NOT BE THE RESPONSIBILITY OF MATH FOR LIFE. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES AND LIMITED REMEDIES SET FORTH HEREIN REPRESENT AN INSEPARABLE ALLOCATION OF RISK (INCLUDING, WITHOUT LIMITATION, IN THE EVENT OF A TOTAL AND FUNDAMENTAL BREACH OF THIS TERMS OF USE) THAT IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

14. Policy to Terminate Privileges for Copyright Infringement. Pursuant to 17 U.S.C. § 512 as amended by Title II of the Digital Millennium Copyright Act (the "Act"), Math for Life, Inc.. will terminate the account of any customer, or vendor who uses his or her privileges to unlawfully transmit copyrighted material without a license, valid defense or fair use privilege to do so. After proper notification by the copyright holder or its agent to the eLittleBucks.com and later confirmation through court order or an admission by the customer that an account has been an instrument of unlawful infringement, eLittleBucks.com will terminate the infringing customer's account. eLittleBucks.com may also in its sole discretion decide to terminate a customer's account privileges prior to that time if it has good belief that infringement has in fact occurred. In addition, pursuant to 17 U.S.C. § 512(c), eLittleBucks.com has implemented procedures for receiving written notification of claimed infringements and for processing such claims in accordance with the Act. eLittleBucks.com respects the intellectual property of others and we ask other to do the same. 6. A statement by you that the above information and notification is accurate, and under penalty of perjury, that you are the copyright owner or authorized to act on behalf of the owner whose exclusive right is allegedly infringed.

15a. MATH FOR LIFE, INC. EMAILED XBOX LIVE SUBSCRIPTION OR POINTS CODES SERVICE TERMS OF USE

THIS IS AN AGREEMENT BETWEEN YOU AND MATH FOR LIFE, INC. (WITH ITS AFFILIATES, "MATH FOR LIFE, INC." OR "WE"). BEFORE USING THE MATH FOR LIFE, INC. EMAILED XBOX LIVE SUBSCRIPTION OR POINTS CODES SERVICE, PLEASE READ THESE TERMS OF USE, ALL RULES AND POLICIES RELATED TO THE EMAILED XBOX LIVE SUBSCRIPTION OR POINTS CODES SERVICE (INCLUDING, BUT NOT LIMITED TO, ANY SPECIFIC RULES OR USAGE PROVISIONS SPECIFIED ON ANY APPLICABLE PRODUCT, APPLICATION OR SERVICE DETAIL PAGE OR IN ANY LINK FROM A DETAIL PAGE), THE MATH FOR LIFE, INC. PRIVACY NOTICE at http://www.elittlebucks.com/store/expage.asp?pageID=2 AND THE MATH FOR LIFE, INC. CONDITIONS OF USE at http://www.elittlebucks.com/store/terms.asp (COLLECTIVELY, THIS "AGREEMENT"). IF YOU USE THE EMAILED XBOX LIVE SUBSCRIPTION OR POINTS CODES SERVICE, YOU WILL BE BOUND BY THE TERMS OF THIS AGREEMENT.

15a.1. The Emailed XBox Live Subscription or Points Code Service

The Emailed XBox Live Subscription or Points Code Service offers an email of the subscription or points code on the back of a purchased XBox Live subscription or points card under the terms and conditions of this Agreement.

15a.2. XBox Live Subscription or Points Card Code

15a.2.1 General. Within 24 hours of your payment of our fees for an XBox Live Subscription or Points Card, you will be entitled to receive an email of the code printed on the back of the card. To provide this code, we will remove the code concealment strip on the back of the card, and copy the code from the back of the card into a code transmittal email.

15a.2.2 Responsibility for Internet Access Charges. You are responsible for any internet or other connection charges you may incur in connection with your use of the Emailed XBox Live Subscription or Points Code Service generally, and of any XBox Live Subscription or Points Card Code.

15a.2.3 All Sales Final Accessing and Risk of Loss Availability of XBox Live Subscription or Points Card Code. Once we transmit the XBox Live Subscription or Points Card Code via email, the sale is final. We do not accept returns of emailed XBox Live Subscription or Points Card Codes. XBox Live Subscription or Points Card Codes may require you to use a computer or other device meeting minimum system requirements, and you are responsible for ensuring that that your computer or device meets XBox Live Subscription or Points Card Code system requirements prior to purchase. Generally, XBox Live Subscription or Points Card Code system requirements are available on http://www.xbox.xom. Once you have purchased an XBox Live Subscription or Points Card Code, we encourage you to use it promptly to ensure that you have received it. You are responsible for receiving and confirming your ability to use XBox Live Subscription or Points Card Codes within seven (7) days after purchase and bear all risk of loss thereafter, including loss of the code transmittal email. Any time during the aforementioned seven (7) day period, should you lose the code or discover that the code does not activate the purchased subscription or points within the desired XBox Live account, you must contact us within the seven (7) day period to receive a copy or corrected code transmittal email. When contacting us, you must use the original email address to which the code was sent. We will not re-send code transmittal emails to alternate email addresses. After the aforementioned seven (7) day period, we will destroy the original XBox Live Subscription or Points Card from which the emailed code was taken. Math for Life, Inc. will not be liable to you if XBox Live becomes unavailable or no longer accepts subscription or point codes. We may at any time, or from time to time, terminate this service, because of manufacturer's restrictions or for other reasons.

15a.3. Reservation of Rights

Except for the rights explicitly granted to you in this Agreement and in the terms of use included with XBox Live and the XBox Live Subscription or Points Card Code, all right, title and interest in the Emailed XBox Live Subscription or Points Code Service and the Emailed XBox Live Subscription or Points Codes are reserved and retained by their respective providers, publishers and rightsholders. You do not acquire any ownership rights in the Service as a result of the Emailed XBox Live Subscription or Points Code Service or receiving an emailed XBox Live Subscription or Points Code.

15a.4. General

15a.4.1 Export Regulations. You agree to comply with all export and re-export restrictions and regulations of the Department of Commerce and other United States agencies and authorities that may apply to the Emailed XBox Live Subscription or Points Code.

15a.4.2 Termination Amendments. Your rights under this Agreement will automatically terminate without notice from us if you fail to comply with any of its terms. In case of such termination, you must cease all use of the Emailed XBox Live Subscription or Points Code Service, and we may immediately revoke your access to the Emailed XBox Live Subscription or Points Code Service without notice to you and without refund of any fees. Our failure to insist upon or enforce your strict compliance with this Agreement will not constitute a waiver of any of our rights. We may amend any of this Agreement's terms at our sole discretion by posting the revised terms on the elittleBucks.com website. Your continued use of the Emailed XBox Live Subscription or Points Code Service after any such amendment's effective date evidences your agreement to be bound by it.

Returns Policy

Each of these policies may be changed from time to time and are effective immediately after we post the changes on the Site. In addition, when using particular services on the Site, you agree that you are subject to any posted policies or rules applicable to services you use through the Site, which may be posted from time to time. All such posted policies or rules are hereby incorporated by reference into this Agreement.

16. Content Copyright and Trademark Notice. All content on the Site (collectively, "Content") is owned or licensed by or to eLittleBucks.com, and is protected by copyright, trade dress, and trademark laws, and various other intellectual property rights laws. Except as expressly provided herein, you are not granted any rights or license to patents, copyrights, trade secrets, trade dress, rights of publicity or trademarks with respect to any of the Content, and eLittleBucks.com reserves all rights not expressly granted hereunder. eLittleBucks.com expressly disclaims all responsibility and liability for uses by you of any Content obtained on or in connection with the Site.

ELITTLEBUCKS.COM is a pending service mark of Math for Life. All custom graphics, icons, logos and service names are pending registered trademarks, trademarks or service marks of Math for Life. All other trademarks or service marks are property of their respective owners. The use of any Math for Life trademark or service mark without Math for Life's express written consent is strictly prohibited.

17. General. No delay or failure to take action under this Terms of Use shall constitute any waiver by eLittleBucks.com of any provision of this Terms of Use. If any provision of this Terms of Use is invalid or unenforceable under applicable law, it is, to that extent, deemed enforceable to the fullest extent possible (and severable in the event such provision is completely unenforceable) and the remaining provisions of this Terms of Use will continue in full force and effect. This Terms of Use will bind and inure to the benefit of eLittleBucks.com's permitted successors and assigns. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises. This Terms of Use shall be governed by the laws of the State of Maryland without regard to or application of any conflict of laws provisions. You consent to the exclusive jurisdiction of the state and federal courts sitting in Montgomery County, in the State of Maryland. This Terms of Use is personal to you and may not be transferred, assigned or delegated to anyone. Any attempt by you to assign, transfer or delegate this Terms of Use shall be null and void. eLittleBucks.com may freely assign this Terms of Use without consent or notice. This Terms of Use (including all documents expressly incorporated herein by reference, including but not limited, to the relevant Usage Rules) constitutes the complete and exclusive agreement between eLittleBucks.com and you with respect to the subject matter hereof and supersedes all prior oral or written understandings, communications or agreements not specifically incorporated herein.
